1. Acceptance of Terms

By accessing or using NibbleFind ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and NibbleFind ("we," "us," or "our").

2. Eligibility

You must be at least 13 years old (or 16 years old if you are in the European Economic Area) to use NibbleFind. By using the App, you represent that you meet this age requirement.

If you are using the App on behalf of a business, you represent that you have the authority to bind that business to these Terms.

3. Account Registration

3.1 Account Creation

To use certain features, you must create an account by providing:

• A valid email address
• A secure password
• Your full name
• Agreement to our Privacy Policy

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3.3 Account Termination

We reserve the right to suspend or terminate your account if you:

• Violate these Terms
• Provide false or misleading information
• Engage in fraudulent or illegal activities
• Harass or abuse other users

4. User Accounts

4.1 Customer Accounts

As a customer, you may:

• Browse and search vendor listings
• Save favorite vendors
• Rate and review vendors
• Use location-based features

4.2 Business Accounts

As a business owner, you may:

• Create and manage one vendor listing
• Add photos, descriptions, hours, and location
• Respond to customer inquiries
• Update your business information

Restrictions:

• Each user may only create one vendor listing
• You cannot rate your own business
• You must provide accurate business information
• You must have the legal right to represent the business

5. Vendor Listings

5.1 Listing Standards

Vendor listings must:

• Be accurate and truthful
• Represent a legitimate business
• Comply with all applicable laws
• Not infringe on intellectual property rights
• Not contain offensive, discriminatory, or illegal content

5.2 Prohibited Content

You may not include:

• False or misleading information
• Spam or deceptive content
• Copyrighted material without permission
• Inappropriate or adult content
• Malicious links or malware

5.3 Content Ownership

• Your Content: You retain ownership of content you submit (photos, descriptions, etc.)
• License to Us: By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content within the App
• Removal: We reserve the right to remove content that violates these Terms

6. User Conduct

You agree NOT to:

• Violate any laws or regulations
• Infringe on others' intellectual property rights
• Harass, threaten, or abuse other users
• Post false, defamatory, or misleading content
• Attempt to hack, disrupt, or overload the App
• Scrape or collect data from the App without permission
• Impersonate others or create fake accounts
• Use the App for commercial spam or solicitation
• Manipulate ratings or reviews

7. Ratings and Reviews

7.1 Rating Guidelines

• You may only rate vendors you have interacted with
• Ratings must reflect your genuine experience
• You cannot rate your own business
• One rating per vendor per user

7.2 Review Content

While we don't pre-screen reviews, they must:

• Be honest and factual
• Not contain personal attacks or hate speech
• Not include spam or promotional content
• Comply with our content policies

7.3 Our Rights

We reserve the right to remove ratings or reviews that:

• Violate these Terms
• Are fraudulent or manipulated
• Contain inappropriate content
• Are part of a coordinated attack

8. Location Services

8.1 Location Data

By enabling location services, you consent to:

• Collection of your GPS coordinates
• Use of location data to show nearby vendors
• Storage of location data for vendor listings

8.2 Location Control

You may:

• Disable location services in your device settings
• Enter addresses manually instead of using GPS
• Delete location data by deleting your account

9. Subscriptions and Payments

9.1 Free Trial

New vendor accounts receive a free trial period with access to premium features. The trial period and its duration are subject to change at our discretion.

9.2 Premium Subscriptions

Premium subscriptions are available as auto-renewable subscriptions through the Apple App Store and Google Play Store. By purchasing a subscription, you agree to the pricing and payment terms presented at the time of purchase.

9.3 Billing

• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• Payment is charged to your App Store or Google Play account
• Manage or cancel your subscription through your device's subscription settings

9.4 Refunds

Refund requests are handled by Apple or Google according to their respective refund policies.

10. Intellectual Property

10.1 Our Rights

The App, including its design, code, trademarks, and content (excluding user-generated content), is owned by NibbleFind and protected by copyright and trademark laws.

You may not:

• Copy, modify, or distribute the App
• Reverse engineer or decompile the App
• Use our trademarks without permission

10.2 User Content

You represent that you have the right to upload all content you submit and that it does not violate any third-party rights.

11. Third-Party Services

The App uses third-party services, including:

• Firebase/Google Cloud: Hosting, authentication, database, storage
• Apple Maps / Google Maps: Map display and location services
• Geocoding Services: Address-to-coordinate conversion
• Google Sign-In / Apple Sign-In: Authentication (if used)
• Apple App Store / Google Play Store: Subscription processing

Your use of these services is governed by their respective terms and privacy policies.

12. Disclaimers

12.1 "AS IS" Service

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY

12.2 Vendor Listings

• We do not endorse, verify, or guarantee the accuracy of vendor listings
• Users interact with vendors at their own risk
• We are not responsible for the quality, safety, or legality of vendors' products or services

12.3 Location Accuracy

• Location data may not be 100% accurate
• We are not liable for incorrect or outdated location information

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIBBLEFIND SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• LOSS OF PROFITS, DATA, OR GOODWILL
• DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE APP
• DAMAGES CAUSED BY THIRD-PARTY VENDORS OR USERS

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO USE THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless NibbleFind, its officers, employees, and affiliates from any claims, damages, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use of the App
• Your content or vendor listings
• Your violation of others' rights

15. Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

16. Changes to Terms

We may update these Terms at any time. Changes will be posted with a new "Last Updated" date. Continued use of the App after changes constitutes acceptance.

For material changes, we will notify you via email or in-app notification.

17. Termination

17.1 Your Rights

You may delete your account at any time from Account Settings. Upon deletion, all your data will be permanently removed.

If you have uninstalled the app and need to request account deletion, please contact us at support@nibblefind.com.

17.2 Our Rights

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in illegal or harmful activities
• Pose a security risk to the App or other users

17.3 Effect of Termination

Upon termination:

• Your access to the App will cease
• Your content will be deleted (vendor listings, ratings, etc.)
• Certain provisions of these Terms will survive (Disclaimers, Limitation of Liability, Indemnification)

18. Dispute Resolution

18.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

18.2 Arbitration

Any disputes arising from these Terms or the App shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, except:

• You may opt out of arbitration within 30 days of account creation
• Small claims court actions are permitted
• Injunctive relief may be sought in court

18.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or representative proceedings.

19. General Provisions

19.1 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full effect.

19.2 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

19.3 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and NibbleFind.

19.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations to any successor or affiliate.

19.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, government actions, pandemics, etc.).
